The deal sits squarely within a broader push to scale retirement and insurance balance sheet partnerships across the continent, with a particular eye on the UK and Germany.

Apollo executives used their latest quarterly earnings call in 2025 to spell out a Europe‑first expansion agenda, describing the region as an area where the firm is investing “significant time and resources” to expand what it calls its dominant presence. That public framing sets the backdrop for a €5bn insurance mandate that deepens Apollo’s role as a balance‑sheet partner rather than a pure third‑party asset manager. The partnership with Apollo gives Athora both financial backing and access to expertise in managing complex asset portfolios, reinforcing a model where capital support and asset manufacturing are tightly integrated.

Positioning around UK regulatory and political change

Rowan has also stated that the takeover is arriving “at a moment of regulatory introspection and political introspection in the UK”, framing the transaction as timed to a shift in the UK’s approach to retirement and insurance capital. The European Principal Finance business at Apollo, founded in 2008, has grown into the firm’s second‑largest closed‑end fund product behind its private equity platform, giving it an established channel for sourcing and structuring European real asset and credit risk. That platform, combined with the targeted build‑out in energy, infrastructure and direct lending, provides the manufacturing capacity needed to support a €5bn insurance mandate without relying solely on public markets. As part of that broader ecosystem, Athene had 1,997 employees as of 30 September 2025, showing the scale of Apollo’s retirement and insurance servicing infrastructure.

In Germany, Apollo plans to invest as much as $100 billion over the next decade to support the country’s growth initiatives, which creates another large deployment channel for capital sourced from European insurance mandates. Taken together with the UK retirement focus via Athora and Pension Insurance Corporation, that German commitment rounds out a two‑pillar European strategy anchored on insurance balance sheets and real‑economy credit origination.
